1. Who You Are Contracting With

These Terms govern your use of AgentOS AI™ (the "Service"), provided by DiGrazia & Associates at eXp Realty ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

2. The Service

AgentOS AI provides AI-assisted tools for real estate professionals, including content generation, campaign building, document analysis, and related features.

3. Accounts

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. If you sign up on behalf of an organisation, you confirm you have authority to bind it.

4. Acceptable Use

You agree not to misuse the Service, including by:

• using it for unlawful, fraudulent, or deceptive purposes;
• infringing intellectual property or privacy rights of others;
• sending spam or generating discriminatory, harassing, or unlawful content;
• probing, scanning, or interfering with the security or integrity of the Service;
• reverse engineering, scraping, or circumventing technical restrictions;
• generating content that violates Fair Housing, MLS, or other applicable rules.

5. AI Outputs

AI-generated outputs may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing all outputs for accuracy, legal compliance, and appropriateness before use, and for ensuring you have the rights to any inputs you provide. Outputs are not legal, tax, financial, or brokerage advice.

6. Intellectual Property

We retain all right, title, and interest in the Service, including software, templates, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

7. Payments & Subscriptions

Payments are processed securely by Stripe. By subscribing you also agree to Stripe's Services Agreement. Subscriptions renew automatically until cancelled.

8. Refunds

See our Refund Policy. Refunds are processed by Paddle.

9. Service Availability

We work to keep the Service reliable, but we do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose. To the fullest extent permitted by law, all implied warranties are disclaimed.

10. Suspension & Termination

We may suspend or terminate access for material breach, non-payment, suspected fraud or security risk, or repeated policy violations. On termination, your right to use the Service ends and we may delete associated data after a reasonable export window.

11. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve months before the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, data, or goodwill.

12. Indemnity

You will indemnify us against claims arising from your content, your use of outputs, or your breach of these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which DiGrazia & Associates at eXp Realty is established, without regard to conflict-of-law principles.
